1. Who these terms are with
These Platform Terms are an agreement between you and [PROIEX EU LEGAL NAME] [LEGAL FORM], registered at [REGISTERED ADDRESS] under number [REGISTRATION NUMBER] (“PROIEX”, “we”, “us” or “our”). Contact us at support@proiex.com for service questions and legal@proiex.com for legal notices.
These terms govern the PROIEX website, account and workflow platform (the “Platform”). Your role-specific terms also apply:
- Buyer Account Terms if you register or act as a buyer;
- Seller Account Terms if you register or act for a seller business;
- Notary Account Terms if you register or act as a notary; and
- Supervisor Account Terms if you register or act as an independent construction supervisor.
If role-specific terms conflict with these terms on a role-specific issue, the role-specific terms prevail. A document signed for a particular transaction prevails for that transaction.
2. Agreements that are not these terms
Creating an account does not reserve or purchase property, create a mortgage, appoint an agent under a power of attorney, or instruct a notary or bank.
The following are separate instruments where applicable:
- the buyer's transaction-specific Platform Agreement, including transaction fees, deadlines and cancellation provisions, signed with a qualified electronic signature at the first transaction step;
- the seller's written property-specific real-estate mediation agreement;
- any legal reservation agreement;
- the property sale, mortgage-security and other notarial instruments;
- escrow, payment, banking and lending terms;
- the buyer's power of attorney; and
- agreements with independent providers or professionals.
Nothing in these terms changes an executed transaction document retrospectively.
3. Eligibility and authority
You must be at least 18 years old, have legal capacity, and provide accurate information. You may not use the Platform if applicable law prohibits you from doing so.
If you act for a company, professional office or other person, you confirm that you are authorised to create and operate the account in that capacity. An account created before the represented organisation is identified does not itself bind that organisation to a property-specific fee, exclusivity or transaction. We may require the organisation and its authorised representative to accept or sign additional terms after verification.
Accounts are personal to the named user. Do not share credentials, impersonate another person, or allow an unauthorised person to use your account. Tell security@proiex.com promptly if you suspect compromise.
4. Electronic contracting and records
Before you accept contractual terms, the Platform will identify the documents, versions and role that apply. You can open, save and reproduce them. Checking the unchecked acceptance box and submitting the form is your electronic acceptance of the contractual documents identified there.
A Privacy Notice is acknowledged, not “agreed to” as consent. Optional cookies, marketing and any biometric consent are handled separately. Refusing optional consent will not be treated as a rejection of these terms, although a verification method that lawfully requires biometric processing may not be available without the relevant separate consent.
We record the accepted document versions, content hashes, affirmation, server time, role/capacity and security evidence needed to demonstrate the event. We will make an electronic acknowledgement and durable copy available without undue delay.
5. What the Platform does
Subject to your role and approval status, the Platform may let you:
- create and manage an account and organisation profile;
- view, submit or manage property listings and supporting documents;
- start and follow transaction workflows;
- define, submit, review or acknowledge off-plan construction milestones where that feature is enabled;
- exchange documents and status information with authorised participants;
- access integrations for identity checks, signatures, appointments, payments or banking processes; and
- receive operational messages and support.
Features, participating countries and providers can differ by transaction. A visible workflow status is an operational record; it is not a legal opinion or substitute for the act of a notary, court, registry, bank or licensed professional.
6. Verification and onboarding
We may require email and phone verification, identity or address checks, business verification, professional-licence checks, sanctions/fraud screening, and manual review. Depending on configuration, identity checks may be performed through Persona or Didit.
Verification confirms only the result and scope stated in the Platform. It is not a warranty of solvency, title, authority, professional performance or future conduct. We may ask for updated documents or repeat a check where information expires, appears inconsistent, or risk or law reasonably requires it.
Provider-specific collection, face/liveness comparison and biometric information must be shown before the relevant provider flow. See the Privacy Notice and Service Provider List.
7. Your information and documents
You must ensure that information and documents you submit are lawful, accurate, current and not misleading, and that you have the right to submit them. Tell us promptly if they become inaccurate or if your authority changes.
You retain ownership of your content. You grant PROIEX a non-exclusive, worldwide, royalty-free licence for the duration reasonably necessary to host, copy, format, translate, secure, review and make the content available to authorised users and providers for Platform operation, legal compliance and the relevant workflow. Public listing content may be displayed to the public until it is removed or the listing status no longer permits display.
Do not upload unnecessary personal data, secret credentials, malware, unlawful content, forged documents, discriminatory material, or content that infringes privacy, confidentiality or intellectual-property rights.
8. Listings, moderation and illegal content
We may review listings and other user content before or after publication. We may refuse, restrict, suspend, demote or remove content or accounts where reasonably necessary because of:
- illegality or a binding authority order;
- fraud, forgery, impersonation, sanctions or financial-crime risk;
- inaccurate, unsafe, unavailable or inadequately documented property information;
- infringement of rights, confidentiality or these terms;
- cybersecurity, service-integrity or user-safety risk;
- failure to complete required verification; or
- a material breach of an applicable agreement.
Where required, we will give the affected user a statement of reasons and information about available review or redress. We will apply restrictions diligently, objectively and proportionately, considering the rights and legitimate interests of those affected.
Anyone may report suspected illegal content through [REPORT ILLEGAL CONTENT URL]. The report procedure and internal complaints route are described in the Content and Complaints Notice.
9. Platform Lock versus legal reservation
After a buyer completes the first signed transaction step, the Platform may place the listing in an internal “Platform Lock” status, stop new competing Platform transactions, hide the listing from ordinary public availability and cancel other transactions that have not progressed beyond their initial created status.
The Platform Lock is a workflow and availability control only. It is not a legal or notarial reservation, land-register entry, option, lien, mortgage, encumbrance, transfer of title or guarantee that a sale will complete. Any contractual seller exclusivity and any legal reservation are governed by their own signed instruments.
10. Third-party and professional services
The Platform can link to or embed services operated by identity providers, trust-service/signature providers, notaries, banks, payment providers, mapping providers, support tools and other third parties. Their services may have separate terms and privacy notices.
Independent professionals and transaction counterparties exercise their own judgement and legal duties. PROIEX does not control a bank's credit decision, a notary's legal assessment, a construction supervisor's technical milestone conclusion, a registry decision or a third-party provider's independent service. The Service Provider List explains the current integrations and data roles, subject to the applicable contract.
11. Messages
We may send service, security, verification, transaction and legal messages to the email address, phone number or in-account inbox associated with you. These are not marketing messages. You must keep contact details current.
Marketing is optional and uses a separate choice. You can withdraw that choice at any time without affecting service messages.
Formal notices to PROIEX must be sent to legal@proiex.com and, where a physical form is legally required, to the address in the Legal Notice.
12. Availability and changes to features
We aim to operate the Platform with reasonable care but do not promise uninterrupted availability. Maintenance, provider outages, security incidents, law, force majeure or events outside reasonable control may delay a workflow. We will use reasonable measures to restore affected service and preserve transaction records.
We may improve, replace or withdraw a feature for objective reasons such as security, legal requirements, provider availability, compatibility or product development. We will give reasonable notice where a change materially reduces an ongoing contracted service, unless urgent security or legal action is necessary.
13. Account suspension and closure
You may close your ordinary Platform account at any time through [ACCOUNT CLOSURE URL] or support@proiex.com. Account closure is without a Platform account cancellation fee. It does not cancel, rescind or discharge a separately signed transaction, seller mediation agreement, payment obligation, legal hold or professional duty.
We may temporarily restrict an account while investigating a risk or breach. We may suspend or terminate it for the grounds in section 8, non-payment under a separate agreement, repeated misuse, or loss of required eligibility or authority. Except where law, fraud prevention or urgent security requires immediate action, we will give reasonable notice and an opportunity to respond.
After closure, we disable access and delete or retain information in accordance with the Privacy Notice and applicable legal obligations.
14. Intellectual property
PROIEX and its licensors own the Platform software, design, trademarks and content they provide. These terms give you a limited, revocable, non-transferable right to use the Platform for its intended purpose. They do not transfer intellectual-property ownership.
You must not reverse engineer where prohibited, bypass access controls, scrape or bulk-extract data without permission, interfere with security, or use PROIEX branding in a misleading way. Mandatory statutory rights are unaffected.
15. Responsibility and liability
Each party is responsible for loss it causes through breach of contract, negligence or unlawful conduct under the law that applies.
To the maximum extent permitted by law, PROIEX is not responsible for:
- the legal or physical condition, value, availability or title of a property;
- information supplied by a seller, buyer, notary, supervisor, bank, agent or other third party that PROIEX could not reasonably verify;
- an independent provider's professional decision or failure outside PROIEX's reasonable control; or
- indirect or unforeseeable business loss suffered by a business user.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or mandatory consumer rights. No provision requires a consumer to indemnify PROIEX for PROIEX's own breach or unlawful conduct.
Any business-liability cap must be stated in the applicable business agreement. No unstated cap is created by this section.
16. Changes to these terms
We may propose changes for objective reasons, including a change in law or regulatory guidance, security or fraud risk, provider or technical architecture, new or retired features, or the need to clarify wording.
For a material change affecting a consumer, we will give reasonable advance notice on a durable medium, normally at least 30 days, explain the change and its effective date, and explain the right to close the account. We will request fresh affirmative acceptance where required by law or where a change introduces a new fee, materially expands data use, or materially changes exclusivity, liability or dispute rights. Urgent legal or security changes may take effect sooner, with an explanation as soon as reasonably possible.
For a business user, we will give at least 15 days' durable-medium notice and longer where reasonable adaptation requires it, unless a legal obligation or urgent unforeseen cybersecurity/fraud risk requires immediate action. Where the EU Platform-to-Business Regulation applies, its mandatory rights and exceptions prevail.
Changes operate prospectively. They do not rewrite an already executed QES transaction agreement, notarial act, seller mediation agreement or accrued payment obligation.
17. Governing law and disputes
These terms are governed by the law of [EU ESTABLISHMENT COUNTRY], without excluding mandatory rules that apply regardless of that choice.
If you are a consumer, this choice does not deprive you of mandatory protection under the law of your habitual residence. You may bring proceedings in any court available to you under mandatory consumer-jurisdiction rules; these terms do not require a consumer to use a court or arbitration forum that the law does not permit.
Business disputes are subject to [COURTS / AGREED B2B FORUM], unless a separate signed agreement provides otherwise.

18. General
If a provision is invalid or unenforceable, the remaining provisions continue to the extent permitted by law. A delay in exercising a right is not a waiver. You may not transfer your account or these terms without consent; PROIEX may transfer them as part of a genuine corporate reorganisation or business transfer only where this does not reduce mandatory user rights and after any required notice.
These terms are available in [SUPPORTED CONTRACT LANGUAGES]. [LANGUAGE] is the controlling text only to the extent the law permits; mandatory interpretation rules prevail.
